Vanessa Tollis Joins Growing Corporate Tax Team

NEW YORK CITY (September 15) – Kilpatrick Townsend & Stockton announced today the addition of Vanessa Tollis to the New York City office. Ms. Tollis will be a partner on the firm’s Corporate Tax Team where she will Chair the firm’s International Tax Practice. This is the third recent addition to the Corporate Tax Team as Matt Ferguson and Heather Preston joined Kilpatrick Townsend earlier this summer.

Ms. Tollis previously led Gide Loyrette Nouel’s U.S. tax practice, specializing for over 14 years in the U.S. tax aspects of cross-border transactions, both inbound and outbound. She regularly advises global capital markets participants and sponsors on securities offerings and tax-efficient structured finance, including cross-border securitizations. Ms. Tollis also counsels funds and investors on tax issues associated with structuring funds and other joint ventures, in addition to advising general business clients on a broad range of key international tax issues, including U.S. trade or business thresholds, tax treaty application, withholding taxes, entity classification, debt/equity characterization, information reporting, PFIC, CFC and Subpart F, FIRPTA, the FATCA regime, and a wide variety of domestic tax rules. She also has significant experience in related non-tax transactional work, including general corporate and secured transactions, and she is proficient in French and Swedish.

Ms. Tollis’ select recent experience includes providing U.S. tax advice to a global European company structuring a EUR 400 million U.S. receivables securitization; a major European company on its ongoing EUR 1 billion refinancing involving various high yield and other bond offerings and debt re-openings; a French company on its 144A issue of century and perpetual securities; a European investor and collateral manager in a EUR 350 million CLO transaction; and numerous European finance and fund entities on the application of FATCA (risk allocation, language, and disclosure in derivatives, loans, securitizations, and offering documents).

Ms. Tollis is a member of the International Fiscal Association, French American Chamber of Commerce, American Bar Association, New York State Bar Association, and New York City Bar Association. She earned her J.D. from Boston College Law School, an M.S.W. from Simmons College, and a B.S. from The College of William & Mary.
