1. Lessons from the Front Lines: Special Compliance Issues in M&A Deals.
Based on experiences from countless deals, we will address numerous issues that arise in deals, including those issues an acquirer must deal with relating to target tax obligations.

2. The Complex Maze of Employment Taxes—What All Tax Professionals Should Know About Payroll Compliance.
Payroll taxes account for approximately 70% of all tax revenue. Due to the size and complexity of the issues, the rules governing payroll tax and related tax issues contain many pitfalls. This discussion will focus on compliance traps in the areas of payroll taxes, independent contractor (IC) status, fringe benefits, and executive compensation.

3. A Port in the Storm? Documentation as a Defense to IRS Transfer Pricing Adjustments and Penalties.
Transfer pricing was in the political spotlight this year, and the IRS and foreign authorities are devoting increased resources to transfer pricing examinations. This panel will address common intercompany transactions that the IRS scrutinizes, as well as the benefits and costs of contemporaneous transfer pricing documentation for different businesses.

4. Facing IRS Scrutiny? Tips for Dealing with the IRS Before, During, and After an Examination.
Three tax litigators, including a former IRS trial attorney, will discuss issues when dealing with the IRS LB&I Division from examination through court. The topics will include: (i) the new LB&I Directive on Information Document Requests issued this month; (ii) what documents may be withheld from disclosure; (iii) when not to submit a Protest to IRS Appeals; (iv) when to extend the statute of limitations; and (v) which IRS alternative dispute resolutions present the best strategy to end a tax dispute; and finally, (vi) procedural issues unique to TEFRA partnership proceedings.

5. The New Georgia Tax Tribunal: A Conversation with Chief Judge Charles R. Beaudrot, Jr.
Judge Beaudrot will provide an overview of the new Georgia Tax Tribunal.
