Directors and Officers Liability Insurance Coverage (D&O coverage) is one of the most misunderstood and often ignored categories of insurance protection available in today’s market. While companies that are not publicly traded may think they do not need such coverage, the coverage provided is not limited to stockholder or other securities claims. Broad coverage can be obtained that will insure both “inside” and “outside” directors and corporate officers against liability; however, coverage also may be available for corporate executives, managers, and even employees, to protect against liability for a variety of insured “wrongful acts.”

The Seminar Group has gathered some of the most eminent insurance lawyers and experts to lead a discussion that will explain the risks of liability that can be insured, who can be insured, the scope of coverages that are available in the market, and how best to protect against the uncertain, yet varied, risks that D&O coverage can and should address.

Learn about the scope of coverages available in the D&O market place, as well as the risks that can and should be insured by such policies. We also will address critical coverage issues that commonly arise whenever claims are made, including how fine distinctions in policy wording, as well as varying approaches taken in different jurisdictions, can be of critical importance in considering the scope of available protections. Corporate representatives, including counsel and risk managers, will learn how best to advise their clients when questions arise regarding D&O liability and coverage issues.

Kilpatrick Townsend partner, Ed Kneisel, will serve as Program Chair for The Seminar Group’s Directors and Officers Liability Insurance Review. Ed along with firm partner, Caroline Spangenberg, will present the following topics:

Corporate Bankruptcy and D&O Coverage”- Caroline Spangenberg

Coverage for Government Investigations”- Ed Kneisel

Ethical Considerations and Duties of Defense Counsel – Key Considerations in Litigating a D&O Coverage Case”- Ed Kneisel, Moderator; Caroline Spangenberg - Panelist
